Professional Experience
Adrea Marshall is a partner in the Washington D.C. firm of Marshall & White, PC, with more than eighteen years’ experience in the areas of business and corporate law, banking, bankruptcy, and privacy law. She advises a broad range of clients, including both established industry leaders, emerging businesses, financial institutions, government agencies, and charitable and not-for-profit entities. She works closely with clients on issues such as business formation and incorporation, subsidiary formation, corporate governance, shareholder buy-sell agreements, corporate maintenance documents, and merger and acquisition agreements. Ms. Marshall regularly advises clients regarding employment contracts, asset-purchase agreements, confidentiality and non-disclosure agreements. Ms. Marshall has an extensive background in banking and commercial real-estate transactions. She has represented institutional creditors in single-lender and multi-lender secured transactions. She has experience with both asset-based and real estate loan transactions. She has significant expertise drafting and negotiating commercial contracts and subcontracts, leases, real estate transactions, and lending arrangements. In addition, she has performed due diligence on both borrowers and guarantors, including those involving complex, secured-credit transactions. Ms. Marshall has experience with all phases of the civil litigation and bankruptcy processes, including the filing of motions and notices, conducting depositions, participating in pre-trial conference and strategy planning sessions. Prior to co-founding Marshall & White, Ms. Marshall was a Senior Corporate Counsel at Iron Mountain, responsible for the review and resolution of security and privacy law matters affecting the company's worldwide operations. In this role, she managed a team of seven legal and business professionals and advised senior management on issues such as breaches of both federal and state security laws, HIPAA compliance, Gramm-Leach-Bliley, PIPEDA and international privacy laws. Ms. Marshall was instrumental in negotiating agreements with customers regarding inadvertent disclosures, security requirements, and incident response procedures (including chain-of-custody policies) Ms. Marshall is a member, through the firm, of the Northern Virginia Technology Counsel (NVTC). The firm has sponsored several events recognizing industry-leading contractors. Ms. Marshall is admitted to practice in the Commonwealth of Massachusetts. She is admitted to practice before the U.S. District Court for the District of Massachusetts. Ms. Marshall is also a notary public for the Commonwealth of Virginia.
